Computer Facilities. The Supplier is responsible for providing all computer facilities necessary to fulfil its obligations under this Agreement and for ensuring that it has appropriate back-up, security and virus-checking procedures in place for any such computer facilities. The Supplier agrees to adhere to all PwC Entity and Client policies related to any PwC Entity or Client computer facilities it uses. The Supplier will ensure that none of its personnel will introduce any computer viruses, worms, software bombs, trojan horses, cancelbots or other contaminants and harmful code of a malicious nature, including but not limited to any codes or instructions that may be used or will be used to access, modify, delete or damage any data files, computer programmes or similar items into any PwC Entity’s or Client’s facilities or systems. The Supplier will check all Deliverables with the latest commercially available virus checker prior to delivery to any PwC Entity or Client computer system.

Third Party Systems – You will obtain all licences, rights and permissions necessary for us, other PwC firms and/or the client to access, use and modify the software, hardware, data and other materials that you may provide or make available to us, other PwC firms and/or the client for use in relation to the services. Data Protection Act - You will comply with (and not cause us or DFID to breach) any applicable data protection legislation in any relevant jurisdiction. If you process any personal data on our (or DFID’s) behalf, you must (i) process the personal data in accordance with our (or DFID’s) instructions, and (ii) take all appropriate technical and organisational security measures to protect the personal data against any unauthorised or unlawful processing and any accidental loss or destruction of, or damage to, the personal data. If and to the extent that you are based outside the European Economic Area (and, if located in the US, you are not US ‘Safe Harborcertified, or if located elsewhere, you are not in a country deemed by the EU to be a country which provides an adequate level of protection for personal data) you agree to the EU requirements for the transfer of personal data to data processors outside the EEA (as referenced in EU decision 2010/87/EU) as if these requirements were incorporated into this agreement. Further Obligations - You agree to be bound by those obligations that are set out in the statement of work, or are notified by us to you, that relate to the prime contract and/ or the services.

Related to Computer Facilities

TEACHER FACILITIES A. Each school shall have the following facilities:
Interconnection Facilities 4.1.1 The Interconnection Customer shall pay for the cost of the Interconnection Facilities itemized in Attachment 2 of this Agreement. The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs. Costs associated with Interconnection Facilities may be shared with other entities that may benefit from such facilities by agreement of the Interconnection Customer, such other entities, the NYISO, and the Connecting Transmission Owner.
Other Facilities Promptly and in no event more than ten (10) days after the effectiveness thereof, copies of (i) any documents, agreements or instruments evidencing indebtedness for borrowed money of any DT Entity and (ii) any amendment, restatement, supplement or other modification any documents, agreements or instruments evidencing indebtedness for borrowed money of any DT Entity, including, without limitation, any fee letter, waiver, consent and any other document, agreement or instrument executed in connection with any of the foregoing.
Interconnection Customer’s Interconnection Facilities The Interconnection Customer shall design, procure, construct, install, own and/or control the Interconnection Customer’s Interconnection Facilities described in Appendix A at its sole expense.

The School shall provide the Lease(s) or Lease Purchase Agreement(s) for all facilities, which is attached to this contract as Attachment J incorporated herein by reference,
Facilities Keep all properties useful or necessary to Borrower's business in good repair and condition, and from time to time make necessary repairs, renewals and replacements thereto so that such properties shall be fully and efficiently preserved and maintained.
Computer Systems UNFI has proper security safeguards in place to ensure the confidentiality of all of WFM’s data as contained in UNFI’s computer systems. All such systems will perform without material defect or error in compliance with the performance standards set forth in this Agreement. UNFI has a disaster recovery program in place to ensure that, in the event of a catastrophic destruction of any portion of UNFI’s computer systems, wherever located, UNFI will be able to recover all necessary data to continue to perform its obligations hereunder in substantially the time frames contemplated herein.
