Consummated definition

Consummated means, for purposes of this Agreement and the Exchange Offer, upon the latest to occur of (i) the effectiveness under the Securities Act of the Exchange Offer Registration Statement, (ii) the maintenance of such Registration Statement continuously effective and the keeping of the Exchange Offer open for a period not less than the minimum period required pursuant to Section 2(a) hereof and (iii) the delivery by the Company to the registrar under the Indenture of Exchange Securities in the same aggregate principal amount as the aggregate principal amount of Registrable Securities that were tendered by Holders thereof pursuant to the Exchange Offer.
Consummated means the date on which the loan was closed and all related loan documents were executed.
Consummated shall have a correlative meaning.

Consummated shall have the meaning assigned by Section 321.203 of TEXAS TAX CODE, or its successor, including after a change of law the applicable principles for determining the incidence of local sales and use taxes.
