Currently Conducted definition

Currently Conducted when referring to the Business, shall include the Business as it is now conducted or contractually committed to be conducted.
Currently Conducted means the Business as currently conducted by the Company, including the conduct of the Business consistent with its existing plans therefor in the jurisdictions listed on Schedule 1.1B.
Currently Conducted means as currently conducted and as conducted during the six month period preceding the date of this Agreement.

Examples of Currently Conducted in a sentence

The assets, rights, personal property, permits and contracts of the Company to be transferred to Buyer in connection with the Merger (a) constitute all the properties, assets and rights used in connection with the Business as Currently Conducted, and also (b) include all the assets, properties and rights necessary for Buyer to conduct the Business in all material respects as Currently Conducted.

The Transferred Intellectual Property constitutes all of the material Intellectual Property owned by any of Sellers or any of their Affiliates that is necessary for the conduct of the Business as Currently Conducted.

Without limiting the generality of the foregoing, upon the Closing, none of the Sellers nor any of their Affiliates will retain ownership of any Patents that, absent a license, would be infringed by the use, making, selling, offering for sale or importation of any the products described in any of clauses (i)-(v) of the definition of “Business” or the conduct of any of the activities that comprise the Business as Currently Conducted.

To Sellers’ Knowledge, all material Permits required for Sellers to own or operate the Business and the Purchased Assets (other than the Purchased Equity) as Currently Conducted are listed on Section 4.9 of the Sellers Disclosure Letter.

The Purchased Assets are sufficient for the continued conduct of the Business after each Closing in substantially the same manner As Currently Conducted.

All Permits, including Environmental Permits, which are held by Seller and required for the conduct of the Business As Currently Conducted or for the ownership and use of the Real Property.

All such equipment and personal property has been maintained in all material respects in accordance with past practice and generally accepted industry practice and no such item that is material, or group of items that are material, to the conduct of the Business as Currently Conducted is not in good operating condition and repair (ordinary wear and tear excepted) and adequate for use in the Business as it is Currently Conducted except as set forth in Section 2.1(c) of the Sellers Disclosure Letter.

Understandably, such an approach exposes and brings together the many disconnects and inconsistencies in knowledge in this area of study.

The assets, rights, personal property, permits and contracts of the Company to be transferred to the Buyer in connection with the Merger (a) constitute all the properties, assets and rights used in connection with the Business as Currently Conducted, and also (b) include all the assets, properties and rights necessary for the Buyer to conduct the Business in all material respects as Currently Conducted.

All tangible personal property (i) owned by Seller, located on or in the Real Property and (ii) not located at the Real Properties but held for use exclusively in the conduct of the Business As Currently Conducted (collectively, the “Personal Property”).

Related to Currently Conducted

Well-conducted cohort studies means patients who receive study treatment are compared to a group of patients who receive standard therapy. The comparison group must be nearly identical to the study treatment group.
Company Business means any business in which the Company or any Subsidiary or other Affiliate is: (x) engaged in during the term of the Grantee’s Business Relationship; or (y) any business in which the Company or any Subsidiary or other Affiliate has undertaken material substantive steps to engage within the twelve (12) month period prior to such Termination, so long as with respect to both prongs (x) and (y) of this sentence, the Grantee had responsibilities with respect to, or Confidential or Proprietary Information about, such business (or anticipated business) prior to the Termination. Without limiting the foregoing, the Company Business shall be deemed to include the well completion and servicing business (including, without limitation, hydraulic fracturing, coiled tubing, pressure pumping, wireline, cementing, pressure testing, pump-down, perforating, pipe recovery and other complementary services), petroleum engineering services (including without limitation services in connection with hydraulic fracture stimulation and reservoir engineering), directional drilling and production services.
Qualified business means an existing or proposed business entity with an annual average number of employees not exceeding 200 employees. “Qualified business” does not include businesses engaged primarily in retail sales, real estate, or the provision of health care or other professional services. “Qualified business” includes professional services businesses that provide services to targeted industry businesses or other entities. To be considered a qualified business, a professional services business must derive a majority of its revenue from targeted industry businesses.
Restricted Activities means and includes the following:
Excluded Businesses means any and all businesses of Abbott, the Asset Seller Entities or their respective Affiliates other than the Triage Business.
Significant business transaction means any business transaction or series of transactions that, during any one fiscal year, exceeds the lesser of $25,000 or 5 percent of the total operating expense of a provider.
Core Business means any material line of business conducted by the Company and its Subsidiaries as of the Closing Date and any business directly related thereto.
Material Non Listed Indian Subsidiary means an unlisted subsidiary, incorporated in India, whose income or net worth (i.e. paid up capital and free reserves) exceeds 20% of the consolidated income or net worth respectively, of the listed holding company and its subsidiaries in the immediately preceding accounting year.
Excluded Business means Excepted Business for which AUL has exercised its option pursuant to Sections 2.02(b), 2.06(b), 7.05(a) and/or 7.05(b) to exclude from calculation of its Profit Commission.
Well-conducted randomized controlled trials means that two or more treatments are compared to each other, and the patient is not allowed to choose which treatment is received.
Active business operations means all business operations that are not inactive business operations.
Specified Business means (A) providing outsourced telecommunications infrastructure services to local or long distance telecommunications providers or engaging in any business conducted by the Company at the time of termination of the Employee's employment with the Company or (B) conducting, operating, carrying out or engaging in the business of managing any entity described in clause (A).
Major life activities means functions such as caring for one's self, performing manual tasks, walking, seeing, hearing, speaking, breathing, learning and working.
Purchased Business means the business and operations of the Sellers and their Affiliates (wherever such business and operations are situated or conducted) related to (i) the mining, processing, preparation, selling and shipping of metallurgical coal, thermal coal and specialty coal and related operations conducted with respect to the Mining Complexes, (ii) the mineral development drilling, exploration and related operations conducted with respect to the Mining Complexes and (iii) the selling, marketing, purchasing and blending of coal and related operations of Logan & Kanawha Coal Company, LLC and its Subsidiaries.
Prohibited Activities means directly or indirectly owning any interest in, managing, participating in (whether as an employee, director, officer, consultant, partner, member, manager, representative or agent), consulting with or rendering services to any entity (including, without limitation, Doctor On Demand, MDLive, Teladoc, Epic Systems, Cerner or Zoom) in (A) the telehealth industry or (B) digital healthcare, that, in the case of clause (B), performs or plans to perform any of the services or manufactures or sells or plans to manufacture or sell any of the products planned, provided or offered by the Company or any of its subsidiaries or any products or services designed to perform the same function or achieve the same results as the products or services planned, provided or offered by the Company or any of its subsidiaries or performs or plans to perform any other services and/or engages or plans to engage in the development, production, manufacture, distribution or sale of any product similar to any planned or actual services performed or products developed, produced, manufactured, distributed or sold by the Company or any of its subsidiaries during the term of Executive’s employment with the Company and its subsidiaries, including, without limitation, any business activity that directly or indirectly provides the research, development, manufacture, marketing, selling or servicing of systems facilitating consumer communications with professional service providers in the digital healthcare field; provided that (i) Prohibited Activities shall not mean Executive’s investment in securities of a publicly-traded company (or a non-publicly traded entity through a passive investment) equal to less than five percent (5%) of such company’s outstanding voting securities, (ii) Prohibited Activities following cessation of Executive’s employment shall not include businesses of the Company or its subsidiaries which are reasonably projected, as of the termination date, to represent less than 5% of the consolidated revenues of the Company and its subsidiaries taken as a whole following the termination date, and (iii) Executive shall be permitted to provide services to an entity that has a unit, division, subsidiary or affiliate engaging in a Prohibited Activity so long as Executive does not provide services, directly or indirectly, to such unit, division, subsidiary or affiliate engaging in the Prohibited Activity. Executive agrees that the covenants contained in this Section 13(b) are reasonable and desirable to protect the Confidential Information of the Company and its subsidiaries. Any reference to plans or planned activity in this paragraph shall be limited to plans or planned activities that are based upon material demonstrable actions. Following Executive’s cessation of employment, the prohibitions in this paragraph shall be limited to activities and planned activities (including locations) as of the date of Executive’s termination of employment.
Subject Business means the policy or policies that are the subject of the Insurance Business Transfer Plan.
Transferred Business has the meaning ascribed to such term in the Separation Agreement.
Public business means and includes all matters which relate in any way, directly or indirectly, to the performance of the public body’s functions or the conduct of its business.
Motorsport Activities means any motorsport activities or Recreational Services which are permitted or approved which Motorsport Australia regulates or administers or otherwise are under the responsibility / control of Motorsport Australia;
Inactive business operations means the mere continued holding or renewal of rights to property previously operated for the purpose of generating revenues but not presently deployed for such purpose.
food business means any undertaking, whether for profit or not and whether public or private, carrying out any of the activities related to any stage of production, processing and distribution of food;
Separate Business means each of the activities of the Licensee connected
Covered Conduct means any actual or alleged act, failure to act, negligence, statement, error, omission, breach of any duty, conduct, event, transaction, agreement, misstatement, misleading statement or other activity of any kind whatsoever from the beginning of time through the Reference Date (and any past, present, or future consequence of any such act, failure to act, negligence, statement, error, omission, breach of duty, conduct, event, transaction, agreement, misstatement, misleading statement or other activity) relating in any way to (a) the discovery, development, manufacture, packaging, repackaging, marketing, promotion, advertising, labeling, recall, withdrawal, distribution, delivery, monitoring, reporting, supply, sale, prescribing, dispensing, physical security, warehousing, use or abuse of, or operating procedures relating to any Product, or any system, plan, policy, or advocacy relating to any Product or class of Products, including but not limited to any unbranded promotion, marketing, programs, or campaigns relating to any Product or class of Products; (b) the characteristics, properties, risks, or benefits of any Product; (c) the reporting, disclosure, non- reporting or non-disclosure to federal, state or other regulators of orders for any Product placed with any Released Entity; (d) the selective breeding, harvesting, extracting, purifying, exporting, importing, applying for quota for, procuring quota for, handling, promoting, manufacturing, processing, packaging, supplying, distributing, converting, or selling of, or otherwise engaging in any activity relating to, precursor or component Products, including but not limited to natural, synthetic, semi-synthetic or chemical raw materials, starting materials, finished active pharmaceutical ingredients, drug substances, or any related intermediate Products; or (e) diversion control programs or suspicious order monitoring related to any Product.
Qualified Business Criteria means one or more of the Business Criteria listed in Section 11.2 upon which performance goals for certain Qualified Performance-Based Awards may be established by the Committee.
Competitive Activities means any business activities in which the Company or any other member of the Company Group engage (or have committed plans to engage) during the Term of Employment, or, following termination of Employee’s employment hereunder, was engaged in business (or had committed plans to engage) at the time of such termination of employment.
Disabled Business Enterprise means a business owned by a person with a disability that is a continuing, independent, for-profit business that performs a commercially useful function, and is at least fifty-one (51%) owned and controlled by one (1) or more persons with a disability, or, in the case of any publicly-owned business, at least fifty one percent (51%) of the stock of which is owned and controlled by one(1) or more persons with a disability and whose management and daily business operations are under the control of one (1) or more persons with a disability.
