If you are not satisfied with the resolution after speaking with a Clearview Energy representative, then you may contact the DPU. For your convenience, the DPU’s contact information has been provided at the end of this Agreement. No terms contained herein waive any rights you may have under Massachusetts or Federal Consumer Protection laws.
Dispute Resolution Process. Each Party will make a good faith effort to resolve any disputes relating to this Agreement prior to commencing a legal action. These efforts may include an offer to arrange for executive-level discussions or an offer to submit the dispute to non-binding mediation. This section shall not apply if (i) a Party considers the immediate commencement of a legal action for an injunction necessary to protect its interests (e.g., to protect against the improper use or disclosure of its confidential information); or, (ii) the dispute is subject to another provision in this Agreement that includes a different dispute resolution process. For the sake of clarity, Citizens is not subject to the dispute resolution processes set forth in The Florida Administrative Procedure Act, Chapter 120, Florida Statutes.
Dispute Resolution Process. In the event of any dispute between the parties arising out of or in connection with this Contract other than with respect to the termination thereof, the following dispute resolution process will apply unless the parties otherwise agree in writing: (a) the parties must initially attempt to resolve the dispute through collaborative negotiation; and (b) if the dispute cannot be resolved through collaborative negotiation within thirty (30) calendar days of the dispute arising, the parties may between themselves agree to submit the particular matter to mediation in accordance with the laws of Ontario. Unless the parties agree otherwise in writing, the mediation under this section will be held in Ontario; (c) Any dispute between the parties that cannot be resolved by mediation shall be settled and determined by a Court of competent jurisdiction, subject to the Board’s right to submit such dispute for settlement and determination by arbitration pursuant to the Arbitration Act of Ontario (the “Act”) as same may be amended from time to time, in which case the following provisions shall apply. Either party may at any time give written notice to the other of its desire to submit such dispute to arbitration stating with reasonable particularity the subject matter of such dispute. In the case of the Supplier giving notice to the Board, if the Board does not consent to submitting such matter to arbitration, the Supplier may refer such matter to a court of competent jurisdiction. If the Board generates the notice, or if the notice is generated by the Supplier and consented to by the Board, then the following provision shall apply. Within (5) business days after receipt of such notice, the parties shall appoint a single arbitrator with appropriate experience to determine such dispute. If the parties fail to appoint an arbitrator, either party may apply to a Judge of the Ontario Court General Division to appoint an arbitrator to determine such dispute. The costs of arbitration shall be paid by the party as determined by the arbitrator, which jurisdiction shall include the determination of the costs to be paid by the unsuccessful party. The award of the arbitrator shall be final and binding upon the parties. Judgment upon the award rendered by the arbitrator may be entered in any court.
Dispute Resolution Process. The Parties recognize that disputes as to certain matters may from time to time arise during the Term that relate to (i) interpretation of a Party’s rights or obligations hereunder, (ii) any alleged breach of this Agreement, (iii) any issue that is unable to be resolved pursuant to informal channels of resolution. If the Parties cannot resolve any such dispute within [***] days after written notice of a dispute from one Party to another, either Party may, by written notice to the other Party, have such dispute referred to the JSC. If the JSC cannot resolve such dispute within [***] days after such dispute is referred thereto, either Party may, by written notice to the other Party, have such dispute referred to the Chief Executive Officer of Nanobiotix and the Chief Executive Officer of Lian (collectively, the “Senior Executives”). The Senior Executives shall negotiate in good faith to resolve the dispute within [***]. If the Senior Executives are unable to resolve the dispute within such time period, the parties shall submit the dispute for arbitration in accordance with Section 15.16. Notwithstanding anything in this Article 15 to the contrary, Nanobiotix and Lian shall each have the right at all times to apply to any court of competent jurisdiction for appropriate interim or provisional relief as necessary to protect the rights or property of that Party or to preserve the status quo pending the resolution of the dispute resolution process as set forth in Section 15.14 and Section 15.16.

The parties hereby agree that, in -------------------------- order to obtain prompt and expeditious resolution of any disputes under this Agreement, each claim, dispute or controversy of whatever nature, arising out of, in connection with, or in relation to the interpretation, performance or breach of this Agreement (or any other agreement contemplated by or related to this Agreement or any other agreement relating to the employment of Employee by Employer), including without limitation any claim based on contract, tort or statute, or the arbitrability of any claim hereunder (a "Claim"), shall be ----- settled, at the request of any party of this Agreement, by final and binding arbitration conducted in Austin, Texas. All such Claims shall be settled by one arbitrator in accordance with the Commercial Arbitration Rules then in effect of the American Arbitration Association. Such arbitrator shall be provided through JAMS by mutual agreement of the parties; provided that, absent such agreement, the arbitrator shall be appointed by JAMS. In either event, such arbitrator may not have any preexisting, direct or indirect relationship with any party to the dispute. Each party hereto expressly consents to, and waives any future objection to, such forum and arbitration rules. Judgment upon any award may be entered by any state or federal court having jurisdiction thereof. Except as required by law (including, without limitation, the rules and regulations of the Securities and Exchange Commission), neither party nor the arbitrator shall disclose the existence, content, or results of any arbitration hereunder without the prior written consent of all parties. Except as provided herein, the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings pursuant to this Section 17. ---------- Adherence to this dispute resolution process shall not limit the right of Employer or Employee to obtain any provisional remedy, including without limitation, injunctive or similar relief set forth in Section 26, from any court ---------- of competent jurisdiction as may be necessary to protect their respective rights and interests pending arbitration. EXCLUSIVE REMEDY ---------------- The parties acknowledge that, at the state and federal levels, various courts and agencies would, in the absence of this Paragraph 4, be available to them to resolve claims or controversies which might arise between them. The parties agree that it is inconsistent with their relationship for either to use courts or governmental agencies to resolve such claims or controversies.
