During Executive s employment, the Corporation shall cause Executive to be covered by all the Corporation's employee benefit plans, in effect from time to time, for which Executive is eligible, including without limitation, any retirement plan or group insurance. The Corporation does not presently have any group life insurance or group long-term disability insurance program; however, the Corporation is in the process of exploring the implementation of such programs. Upon implementation, it is the Corporation's present expectation that the Executive will be covered by group life insurance in an amount equal to at least one year's Base Salary and group long-term disability insurance. In addition, to facilitate Executive's travel on Corporation business, during employment the Corporation shall furnish Executive, without cost to Executive, but in accordance with any applicable IRS requirements and limitations, a Corporation owned or leased, and Corporation insured, automobile chosen by the Corporation. Notwithstanding the foregoing, Executive recognizes that each year the Corporation must report to the IRS an amount of income to be charged to Executive as taxable income representing the fair value of Executive's personal use of such automobile. In addition, the Corporation shall pay or reimburse all reasonable expenses of maintaining and operating such automobile.
During Executive s employment, the Company shall pay Executive an annualized base salary of $440,000 ("Base Salary") payable in equal installments pursuant to the Company's customary payroll policies in force at the time of payment (but in no event less frequently than monthly), less all required and authorized payroll deductions and state and federal withholdings. Executive's Base Salary may be adjusted from time to time in the sole discretion of the Board or the Compensation Committee of the Board (the "Compensation Committee") and shall be reviewed annually by the Compensation Committee.

During Executive s Protection Period, Executive's Employer shall continue to provide Executive and Executive's family with medical and/or health benefits on the same basis as provided to active executive management employees immediately prior to Executive's Date of Termination; provided, however, that Executive shall continue to pay the costs (including premiums and co-payments) he was required to pay for such medical and/or health coverage prior to his Date of Termination (in the event such continuation of coverage is not permitted under the Employer's medical and/or health plan, such coverage shall be secured through COBRA continuation coverage which shall be provided at the Employer's expense for the duration of Executive's Protection Period).

Related to During Executive

Covered Executive means, with respect to any Fiscal Year, each individual who is a "Covered Employee" of the Corporation for such year for the purpose of section 162(m) of the Code.

Employment Termination means that a Participant has ceased, for any reason and with or without cause, to be an employee or Director of, or a consultant to, the Company, the Advisor or any Affiliate of the Company. Key Executives means those employees of the Company who, with respect to a particular Plan Year, are deemed to hold positions which may substantially influence the attainment of Performance Goals. Employees designated as Key Employees for the Annual Bonus and/or Long Term Bonus purposes, may or may not, in the discretion of the Committee be eligible to earn Incentive Compensation under the other portion of this Plan and may or may not be eligible to earn Incentive Compensation in future years under any portion of this Plan.
Year of Employment means a period of service of 12 months.
Eligible Executive means a highly compensated or management level employee or independent contractor of the Company selected by the Committee to be eligible to participate in the Plan.
Qualifying Termination of Employment means a Participant’s Termination of Employment (i) by the Company without Cause or (ii) by the Participant with or without Good Reason or by reason of Retirement.
Date of Termination means (i) if the Executive's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified therein, as the case may be, (ii) if the Executive's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination and (iii) if the Executive's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.
Severance Period means the period of time commencing on the date of the first occurrence of a Change in Control and continuing until the earlier of (i) the second anniversary of the occurrence of the Change in Control and (ii) the Executive’s death.
Post-Employment Period means the one (1) year period beginning on the date of termination of the Employee's employment with the Employer. If any covenant in this Section 5.2 is held to be unreasonable, arbitrary, or against public policy, such covenant will be considered to be divisible with respect to scope, time, and geographic area, and such lesser scope, time, or geographic area, or all of them, as a court of competent jurisdiction may determine to be reasonable, not arbitrary, and not against public policy, will be effective, binding, and enforceable against the Employee. Employee hereby agrees that this covenant is a material and substantial part of this Agreement and that (i) the geographic limitations are reasonable; (ii) the one (1) year term of the covenant is reasonable; and (iii) the covenant is not made for the purpose of limiting competition per se and is reasonably related to a protectable business interest of the Employer. The period of time applicable to any covenant in this Section 5.2 will be extended by the duration of any violation by the Employee of such covenant. The Employee will, while the covenant under this Section 5.2 is in effect, give notice to the Employer, within ten (10) days after accepting any other employment, of the identity of the Employee's employer. The Employer may notify such employer that the Employee is bound by this Agreement and, at the Employer's election, furnish such employer with a copy of this Agreement or relevant portions thereof.

Severance Term means the twelve (12) month period following Employee’s termination by the Company without Cause (other than by reason of death or Disability) or by Employee for Good Reason.
Scope of employment means performance by an employee acting in good faith within the duties of the employee’s office or employment or of tasks lawfully assigned by a competent authority including the operation or use of an agency vehicle or equipment with actual or implied consent of the supervisor of the employee, but shall not include corruption or fraud;
Post-Termination Period means the twelve (12) month period beginning on the Termination Date.
CIC means the Construction Industry Council.
