Related to Leading Banks

Banks shall, unless otherwise expressly indicated, include the Agent in its individual capacity. The Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, and generally engage in any kind of business with, the Borrower or any of its Subsidiaries, and any Person who may do business with or own securities of the Borrower or any such Subsidiary, all as if the Agent were not an agent hereunder and without any duty to account therefor to the Banks.
Existing Banks has the meaning assigned to such term in the recitals hereto.
Reference Lenders means Abbey National plc, Alliance & Leicester plc, Woolwich plc, HBOS plc, Lloyds TSB Bank plc, National Westminster Bank Plc and Bradford and Bingley plc (or their respective successors) and such additional or replacement residential mortgage lenders as shall be determined by the Calculation Agent and Reference Lender means any one of them.
Issuing Banks means each Initial Issuing Bank, each Lender with an outstanding Letter of Credit listed on Schedule 2, and any other Lender approved as a Issuing Bank by the Administrative Agent and the Company and any assignee to which a L/C Commitment hereunder has been assigned pursuant to Section 12.4 so long as each such Lender or such assignee expressly agrees to perform in accordance with their terms all of the obligations that by the terms of this Agreement are required to be performed by it as an Issuing Bank and notifies the Administrative Agent of its applicable lending office and the amount of its L/C Commitment (which information shall be recorded by the Administrative Agent in the Register), for so long as such Initial Issuing Bank, Lender or assignee, as the case may be, shall have a L/C Commitment.
Bank Lenders means the lenders from time to time party to the Bank Credit Agreement.
Facility Agent is defined in the preamble and includes each other Person as shall have subsequently been appointed as the successor Facility Agent, and as shall have accepted such appointment, pursuant to Section 10.5.
Bank Parties means Administrative Agent and the Banks.
Lenders means the Persons listed on Schedule 2.01 and any other Person that shall have become a party hereto pursuant to an Assignment and Assumption, other than any such Person that ceases to be a party hereto pursuant to an Assignment and Assumption.
Supplemental Administrative Agents shall have the corresponding meaning.
Participating Banks means such investment banks that engage in any Debt Exchange with one or more members of the Parent Group.
Administrative Agent’s Fee Letter means that certain letter agreement, dated as of April 1, 1998, between the Agent and the Borrower, as amended, modified, supplemented or replaced from time to time.
Initial Lenders has the meaning specified in the recital of parties to this Agreement.
the Agent means the estate agency described at paragraph 5 of the Schedule;
Purchasing Banks as defined in subsection 10.5(d).
Administrative Agents is defined in the first recital.
JPMCB means JPMorgan Chase Bank, N.A.
Revolving Administrative Agent has the meaning assigned to such term in the preamble of this Agreement.
Initial Issuing Banks has the meaning specified in the recital of parties to this Agreement.
Agent Bank means, in relation to a Series of Securities, the entity (if any) appointed as such under the Agency Agreement and as specified in the Issue Terms.
Fronting Bank means Morgan or such other Bank which Borrower is notified by the Lead Agent may be a Fronting Bank and which is designated by Borrower in its Notice of Borrowing as the Bank which shall issue a Letter of Credit with respect to such Notice of Borrowing.
DIP Agents means the DIP ABL Agent and the DIP Term Loan Agent.
Canadian Issuing Bank means JPMorgan Chase Bank, N.A., Toronto Branch, in its capacity of the issuer of Letters of Credit for the account of the Company hereunder, and its successors in such capacity as provided in Section 2.06(i). The Canadian Issuing Bank may, in its discretion, arrange for one or more Letters of Credit to be issued by Affiliates of the Canadian Issuing Bank, in which case the term “Canadian Issuing Bank” shall include any such Affiliate with respect to Letters of Credit issued by such Affiliate.
Issuing Lenders means all such Persons, collectively.
Reference Banks means, in the case of a determination of LIBOR, the principal London office of four major banks in the London inter-bank market and, in the case of a determination of EURIBOR, the principal Euro-zone office of four major banks in the Euro-zone inter-bank market, in each case selected by the Calculation Agent or as specified hereon.
Account Parties means, collectively, the Company and each of the LC Subsidiaries.
BofA means Bank of America National Trust and Savings Association, a national banking association.
