PERMITS AND. LICENSES To the extent necessary to perform its obligations hereunder, under any Transition Service Agreement(s) and/or under the Transition Trademark License Agreement, Seller has all permits, approvals, consents, licenses, certificates of public convenience, orders and other authorizations of all governmental agencies and authorities, whether federal, state, local or foreign (collectively "PERMITS"), except where failure to do so will not have a Material Adverse Effect on the Business (which failures are listed on Schedule 5.8). Except as listed on Schedule 5.8, all such Permits are valid and in good standing with the issuing agencies and not subject to any proceedings for suspension, modification or revocation as of the date hereof.
PERMITS AND. LICENSES Unless otherwise provided in the Special Provisions, the Contractor shall obtain at his own expense all permits and licenses required for prosecution of the work and shall pay all taxes properly assessed against his equipment or property used in connection with the work. No work shall be started within the street right-of-way or on City property until the Contractor has obtained the necessary permits. The Contractor shall obtain and pay for all permits and r-22 fees and give all notices necessary and incident to the due and lawful prosecution of the work and to the preservation of the public health and safety. Fees will not be collected on those permits obtained from the City Engineer's Office. For work on private property where shown on the plans, the City will provide rights of entry at no cost to the Contractor. Such rights of entry do not relieve the Contractor of the need to provide at his cost, permits and insurance required of the Contractor by other agencies and organizations. The Contractor shall obtain and pay for all costs incurred for licenses necessitated by his operations. Prior to starting any work, the Contractor shall be requited to have a City Business License valid for the life of the Contract; his subcontractors shall also have Business Licenses valid for the time they are engaged in work. 6.10
PERMITS AND. Regulations Consultant will give all notices and secure, pay for and maintain all permits, licenses and inspections required or necessary for proper performance of this Agreement. The Consultant will also comply with all federal, state and local codes, federal, state and local tax laws, social security acts, the National Science Foundation terms and conditions as it applies to this contract and unemployment compensation acts and workmen's compensation acts as may relate to the performance of this Agreement. The Consultant will comply with safety measures initiated by TMI and required by applicable laws, regulations and orders of public authorities, including but not limited to requirements under OSHA.
PERMITS AND. LICENSES SHI shall obtain any permit or license that may be required to provide the services to be furnished under this Agreement. MITSUBISHI will be responsible for obtaining any permit or license that may be required to perform an activity unique to the CVDA that is not included in the foregoing, such as tests involving use of radioactive materials or particular requirements of MITSUBISHI's own government, or governmental authorities outside the United States.
